    Partner Portal Trademark Policy

    1. Purpose

    This Trademark Policy ("Policy") establishes the terms and conditions under which authorized partners of SECNAP Network Security Corporation ("SECNAP") may use SECNAP's trademarks, service marks, trade names, logos, and related brand assets (collectively, "SECNAP Marks") in connection with their authorized partnership activities.

    This Policy applies to all partners who access the SECNAP Partner Portal and is incorporated into, and governed by, the terms of the applicable partnership, referral, reseller, or other agreement entered into between the partner and SECNAP (each, a "Partner Agreement"). In the event of any conflict between this Policy and the Partner Agreement, the Partner Agreement controls.

    2. SECNAP Marks

    The following are examples of SECNAP Marks covered by this Policy. This list is not exhaustive and SECNAP may update it from time to time.

    • SECNAP (word mark)
    • SECNAP Network Security (word mark)
    • CloudJacket (word mark)
    • CloudJacket MXDR (word mark)
    • All SECNAP logos, seal designs, and graphic marks in any color or format
    • Any other marks, taglines, or product names designated by SECNAP as proprietary from time to time

    SECNAP owns all right, title, and interest in and to the SECNAP Marks. Nothing in this Policy or any Partner Agreement grants a partner any ownership interest in the SECNAP Marks or any associated goodwill. All goodwill arising from a partner's use of the SECNAP Marks inures solely to the benefit of SECNAP.

    3. License Grant

    Subject to the terms of this Policy and the applicable Partner Agreement, SECNAP grants each authorized partner a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the SECNAP Marks solely as expressly permitted by the Partner Agreement and solely for the purpose of marketing, promoting, or identifying SECNAP products and services that the partner is authorized to resell, refer, or promote.

    This license does not extend beyond the scope, territory, or duration expressly authorized in the Partner Agreement. Any use of the SECNAP Marks outside the scope of this license requires the prior written consent of SECNAP.

    4. Permitted Uses

    To the extent expressly authorized in the applicable Partner Agreement, partners may:

    • Display SECNAP Marks on the partner's website to identify the partner's authorized relationship with SECNAP, subject to the placement and size requirements in Section 6;
    • Include SECNAP Marks in co-branded marketing materials prepared in connection with authorized SECNAP products and services, subject to SECNAP's prior approval as required under Section 7;
    • Reference SECNAP by name and describe authorized SECNAP products and services in sales presentations, proposals, and promotional content, provided that all such references are accurate and not misleading;
    • Use SECNAP Marks in email communications and digital advertising directed at prospective end customers, subject to the requirements of this Policy.

    All permitted uses are subject to the quality standards, approval requirements, and usage guidelines set forth in this Policy.

    5. Prohibited Uses

    Partners may not, without SECNAP's prior written consent:

    • Alter, modify, distort, animate, or create derivative works based on any SECNAP Mark;
    • Use any SECNAP Mark as part of the partner's own company name, trade name, domain name, social media handle, or product name;
    • Use any SECNAP Mark in a manner that implies sponsorship, endorsement, or affiliation beyond the scope of the Partner Agreement;
    • Use any SECNAP Mark in connection with products or services that are not authorized SECNAP offerings;
    • Display any SECNAP Mark in a manner that is false, misleading, defamatory, obscene, or otherwise harmful to SECNAP's reputation;
    • Register, attempt to register, or use as a keyword any SECNAP Mark or any mark that is confusingly similar to a SECNAP Mark;
    • Use SECNAP Marks in meta tags, search engine keyword buys, or other digital advertising techniques in a manner not expressly authorized by the Partner Agreement;
    • Sublicense or transfer any right to use SECNAP Marks to any third party;
    • Use SECNAP Marks after the termination or expiration of the applicable Partner Agreement.

    6. Logo and Visual Usage Standards

    Partners must follow SECNAP's then-current Brand Guidelines, available in the Partner Portal, when using any SECNAP logo or graphic mark. Key requirements include:

    Clear Space. Maintain adequate clear space around all SECNAP logos. Do not place other text, logos, or design elements within the designated clear space zone specified in the Brand Guidelines.

    Color Integrity. Use only the approved color versions of SECNAP logos. Do not alter colors, add gradients, apply filters, or otherwise modify the appearance of any SECNAP logo.

    Minimum Size. Do not display any SECNAP logo at a size smaller than specified in the Brand Guidelines.

    No Distortion. Do not stretch, compress, skew, or otherwise distort the proportions of any SECNAP logo.

    Approved Assets Only. Use only logos and graphic assets obtained directly from the Partner Portal. Do not recreate or redraw any SECNAP logo.

    Partner Identification. When displaying a SECNAP logo on partner-branded materials, include a clear statement of the partner relationship, such as "Authorized SECNAP Partner" or the specific tier designation set forth in the Partner Agreement. Do not display SECNAP Marks in a manner that could cause confusion as to whether the partner is SECNAP itself.

    7. Co-Branded Materials and Approval

    Partners must submit proposed co-branded materials for SECNAP review and written approval before use or distribution. Submissions should be directed to the designated SECNAP partner contact identified in the Partner Agreement or through the Partner Portal approval workflow.

    SECNAP reserves the right to approve or reject proposed materials in its sole discretion and may require modifications as a condition of approval. Approval of specific materials does not constitute a waiver of SECNAP's rights under this Policy with respect to other materials.

    Partners must maintain copies of all SECNAP approvals and make them available to SECNAP upon request.

    8. Trademark Notices

    Partners must include appropriate trademark notices in all materials displaying SECNAP Marks, as follows:

    • Use the ® symbol with any registered SECNAP Mark.
    • Use the ™ symbol with any unregistered SECNAP Mark.
    • Include the following attribution notice on printed or digital materials where practicable: "SECNAP, CloudJacket, and related marks are trademarks of SECNAP Network Security Corporation. Used with permission."

    SECNAP will inform partners of the registration status of specific marks through the Brand Guidelines or written communication.

    9. References to Partner Status

    Partners may accurately describe their authorized status in connection with SECNAP. Permitted descriptions include references such as "Authorized SECNAP Partner," "SECNAP Referral Partner," or the applicable tier designation stated in the Partner Agreement. Partners may not use descriptions such as "Official SECNAP Representative," "Exclusive SECNAP Partner," or similar terms that overstate the scope or exclusivity of the relationship unless expressly granted in the Partner Agreement.

    10. No Implied License or Warranty

    No license to use any SECNAP Mark is implied by this Policy, by SECNAP's provision of brand assets, or by any course of conduct between the parties. All rights in and to the SECNAP Marks not expressly granted herein are reserved by SECNAP.

    SECNAP makes no warranty that the SECNAP Marks are free from third-party claims. Nothing herein obligates SECNAP to indemnify any partner for claims arising out of the partner's use of SECNAP Marks.

    11. Quality Control and Inspection

    SECNAP reserves the right to monitor and review partner use of the SECNAP Marks to ensure compliance with this Policy. Upon written request, partners must promptly provide samples of materials displaying SECNAP Marks for SECNAP's review.

    If SECNAP determines that any use of the SECNAP Marks fails to conform to this Policy or applicable Brand Guidelines, SECNAP will notify the partner in writing. The partner must cure the non-conforming use within ten (10) business days of receipt of notice, or such a shorter period as SECNAP may specify where immediate harm to the SECNAP Marks is at risk.

    12. Suspension and Termination of License

    SECNAP may suspend or terminate a partner's license to use the SECNAP Marks immediately upon written notice if:

    • The partner breaches any provision of this Policy or the Partner Agreement and fails to cure within the applicable notice period;
    • The partner's use of the SECNAP Marks is determined by SECNAP, in its reasonable judgment, to be harmful to SECNAP's brand, reputation, or intellectual property rights;
    • The Partner Agreement expires or is terminated for any reason.

    Upon suspension or termination, the partner must immediately discontinue all use of the SECNAP Marks and, at SECNAP's option, destroy or return all materials incorporating the SECNAP Marks. The partner must certify such destruction or return in writing within five (5) business days.

    13. Reporting Suspected Infringement

    Partners are encouraged to notify SECNAP promptly if they become aware of any unauthorized use of the SECNAP Marks or any activity that may constitute infringement, counterfeiting, or dilution of the SECNAP Marks. Reports should be submitted to the SECNAP legal department at the contact information designated in the Partner Portal.

    SECNAP retains sole discretion over whether and how to pursue any enforcement action. Partners may not take independent enforcement action with respect to the SECNAP Marks without SECNAP's prior written authorization.

    14. Amendments to This Policy

    SECNAP reserves the right to amend this Policy at any time. Updated versions will be posted to the Partner Portal and will take effect upon posting or on such later date as SECNAP designates. Partners are responsible for reviewing the Policy regularly. Continued use of the SECNAP Marks following the effective date of any amendment constitutes acceptance of the amended Policy.

    15. Governing Law and Disputes

    This Policy shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising under this Policy shall be resolved in accordance with the dispute resolution provisions of the applicable Partner Agreement.
